5. Services bought from us
5.1 Written agreement for each engagement
Before we start any paid service, such as paid media or performance marketing, we agree the details with you in writing. This may be a proposal, statement of work, order form, contract or email confirmation (an “engagement agreement”). It sets out the scope, deliverables, timelines, fees and payment terms. If anything in the engagement agreement conflicts with these terms, the engagement agreement applies.
5.2 Fees and payment
- You agree to pay the fees set out in the engagement agreement, along with applicable taxes, by the agreed due dates.
- Unless agreed otherwise, advertising spend paid to platforms such as Google or Meta is separate from our fees. It is charged by the platform and is your responsibility.
- We may pause work if payments are overdue, after telling you in writing.
5.3 Your responsibilities
- You will give us accurate information, timely approvals and the access we reasonably need (for example, to advertising accounts).
- You confirm that any material you give us (such as text, images, logos and product claims) is yours to use, is accurate and does not break any law or anyone else’s rights.
- You are responsible for your own products, services, website and legal compliance, including claims made in advertisements that you approve.
5.4 Advertising platforms and results
Advertising platforms set their own policies and may approve, reject, limit or remove advertisements or accounts at their discretion. We will work with reasonable care and skill, but marketing results depend on many factors outside our control. We do not guarantee any particular number of leads, sales, rankings or return on spend unless this is expressly agreed in writing.
5.5 Ownership of work
Ownership of deliverables is set out in the engagement agreement. Unless it says otherwise, once you have paid in full you may use the final deliverables made specifically for you in your own business. We keep ownership of our own tools, methods, templates and know-how, and we may reuse general skills and knowledge gained during the work.
5.6 Confidentiality
Each of us will keep the other’s non-public business information confidential and use it only for the engagement, except where disclosure is required by law.
5.7 Ending an engagement
Either of us may end an engagement as set out in the engagement agreement. Either of us may also end it by written notice if the other seriously breaches these terms or the engagement agreement and does not fix the breach within a reasonable time after being asked. Fees for work done up to the date of ending remain payable. See our refund and cancellation policy for more.
6. Limitation of liability
To the extent permitted by law:
- This website is provided “as is”. We are not liable for any loss arising from your use of, or inability to use, this website.
- We are not liable for indirect or consequential loss, or for loss of profit, revenue, data or goodwill.
- Our total liability to you for any engagement is limited to the fees you paid us for that engagement in the three months before the claim arose.
Nothing in these terms limits any liability that cannot be limited under Indian law.
7. Indemnity
You agree to compensate us for reasonable losses and costs arising from third-party claims caused by your breach of these terms, or by material or instructions you gave us.
8. Changes to these terms
We may update these terms from time to time. The updated version will be posted on this page with a new “Last updated” date. Changes do not affect engagement agreements already in place unless both of us agree.
9. Governing law and courts
These terms, and any dispute arising from them or from our services, are governed by the laws of India. The courts at Hyderabad, Telangana, will have exclusive jurisdiction.
